Terms of Service

By using KeyAssist, you agree to these Terms. Please read them carefully. These Terms constitute a legally binding agreement between you and KeyAssist.

1. Acceptance of Terms

By accessing or using KeyAssist ("Service," "we," "us," "our"), you confirm that you are at least 18 years old, have the legal capacity to enter into this agreement, and agree to be bound by these Terms of Service.

2. Description of Service

KeyAssist is a professional automotive key programming reference platform providing:

Key programming procedures for 1127 vehicle models
Transponder chip reference data
Lishi pick reference charts
Equipment compatibility guides (Autel, Xhorse)
Lockout procedures and blade code references

The Service is intended exclusively for licensed professional locksmiths and automotive technicians.

3. Permitted Use

You may use KeyAssist only for:

Legitimate automotive locksmith and key programming work
Professional reference during vehicle service
Training and education of licensed technicians

4. Prohibited Use

You may NOT use KeyAssist to:

Access, program, or unlock vehicles without the owner's explicit consent
Facilitate theft, fraud, or unauthorized vehicle access
Scrape, copy, or redistribute our database without written permission
Reverse engineer, decompile, or extract our data
Create competing products using our data
Share your account credentials with others
Use automated tools to access the Service beyond normal use

Data ownership & provenance. The KeyAssist vehicle key dataset — including FCC IDs, part numbers, transponder and blade data, Lishi references, programming requirements and all compiled prose — is our proprietary compilation, protected by copyright and database rights. It is licensed to you for individual professional reference only. Automated bulk extraction, scraping, crawling, or redistribution of the dataset, and any use of it to build or train a competing or derivative database, are prohibited without our prior written permission. The data carries provenance watermarks; copied records remain identifiable as ours, and the date of first publication is independently verifiable. 5. Subscriptions and Billing

KeyAssist offers Free, Pro ($9.99/month or $95.88/year), and Team ($29.99/month) plans.

EU & UK Consumers — Statutory Right of Withdrawal (14 days): If you are a consumer located in the European Union or the United Kingdom, you have the right to withdraw from this agreement within 14 days of purchase without giving any reason ("cooling-off period"), under EU Directive 2011/83/EU and the UK Consumer Contracts Regulations 2013. To exercise this right, notify us at legal@keyassist.app before the 14-day period expires. We will refund all payments received within 14 days of receiving your withdrawal notice, using the same payment method. Note: This right may not apply if you have explicitly consented to immediate access to the Service and acknowledged that you lose the right of withdrawal upon access.

6. Data Accuracy Disclaimer

⚠️ KeyAssist data is provided "as is" for reference purposes. Always verify procedures on a test vehicle or consult manufacturer documentation before performing work on a customer's vehicle. We are not liable for damage caused by following our data.

7. Professional Qualification Requirement

By creating an account or purchasing a subscription, you certify that you are a licensed professional locksmith or automotive technician authorized to perform vehicle key programming in your jurisdiction. KeyAssist does not verify licenses but reserves the right to terminate accounts found to be in violation of this requirement. Misrepresentation may constitute fraud under applicable law.

8. Data Sources and Legal Basis

KeyAssist reference data is compiled from multiple sources:

FCC ID database: FCC equipment authorization records are works of the U.S. Federal Government and are in the public domain under 17 U.S.C. § 105. Commercial reference use is permitted.
Manufacturer documentation: Procedures derived from publicly available technical service bulletins, dealer training materials, and manufacturer specifications.
Field verification: Data verified by licensed locksmith professionals.

KeyAssist's compilation, curation, and presentation of this data constitutes original intellectual property separate from the underlying public-domain sources.

9. Intellectual Property

All content in KeyAssist — including programming procedures, transponder data, and equipment guides — is proprietary. You may not reproduce, distribute, or create derivative works without explicit written permission.

10. Account Security

You are responsible for maintaining the security of your account. All sessions are fingerprinted and monitored for security. Sharing credentials violates these Terms and may result in immediate account termination.

11. Termination

We may suspend or terminate your access for violations of these Terms, suspected fraud, or abuse of the Service. You may terminate your account at any time by contacting us.

12. Limitation of Liability

To the maximum extent permitted by law, KeyAssist shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.

13. Governing Law

These Terms are governed by the laws of Manitoba, Canada. Any disputes shall be resolved in the courts of Winnipeg, Manitoba.

14. Changes to Terms

We may update these Terms at any time. We will notify subscribers by email at least 14 days before material changes take effect. Continued use after changes constitutes acceptance.

16. Client Journal — Data Processing Terms

The Client Journal lets you keep records of your own customers (name, phone, address, VIN, job notes, prices, key photos). It lives on your device; on a paid plan it also syncs automatically to your KeyAssist account while you are signed in, so your Journal follows you across devices. For that cloud copy you are the data controller and KeyAssist is your processor (GDPR Article 28; the equivalent roles under PIPEDA, the UK GDPR and the CCPA), and the following terms apply:

Instructions only. We process Journal data solely to store it, sync it between your devices and return it to you — that is your documented instruction, given by using the feature. We do not use it for our own purposes, analytics or marketing, and we do not access it except where strictly necessary to operate, secure or back up the service, or where the law requires.
Confidentiality. Anyone with technical access to the database is bound by confidentiality obligations, and access is limited to what running the service requires.
Sub-processor. The cloud copy is stored on Firebase (Google) under our agreement with Google (EU-US Data Privacy Framework and Standard Contractual Clauses), as listed in the Privacy Policy, Section 3. We update that list before adding or replacing a sub-processor for this data; if you object, delete the affected jobs or your account and the copy is removed.
Security. Data is encrypted in transit (TLS) and at rest by Firebase, and Firebase security rules restrict every Journal document and photo to your signed-in account. We will notify you without undue delay if we become aware of a personal-data breach affecting the cloud copy.
Assistance with your customers' requests. The Journal's Export (CSV) and Backup (JSON, includes key photos) buttons give you every record, so you can answer access and portability requests yourself; editing or deleting a job answers rectification and erasure requests, and the cloud copy follows on the next sync. Email privacy@keyassist.app if you need more help.
Deletion or return. Deleting a job erases its customer data from the cloud copy immediately (a deletion marker carrying only the job id and time remains so your other devices learn of it); deleting your account removes the entire copy within 24 hours. Moving back to the Free plan stops syncing but does not delete the copy — delete the jobs, delete your account, or email us and we purge it. Deleted data may persist in routine database backups for up to 30 days. Export your Journal first if you want to keep it.
Information. On request we provide the information reasonably necessary to demonstrate compliance with these obligations, and we allow for and contribute to audits, including inspections, conducted by you or an auditor you mandate — on reasonable notice, no more than once a year unless a supervisory authority requires otherwise.

Your responsibilities. You remain the controller of your customers' data and warrant that you have a lawful basis to collect it and to store it with KeyAssist (for example your contract with the customer, or your legitimate interest in keeping job records), that you inform your customers as the law requires, and that you do not enter data you are not permitted to process. Your customers' requests about their data are yours to handle — KeyAssist has no direct relationship with them and will refer any such request to you.
